M&A area

► Acquisition of the biggest Slovak company authorizing payment card transactions by a significant Norwegian telecommunications company through the increase of the capital stock, including the settlement of legal relations with the shareholders (Slovak banks); in this process we represented the Norwegian company. The total volume of investments by the Norwegian company was app. SKK 200 mil. The transaction included carrying out due diligence, proposing a legal mechanism and making the capital contribution.

► Capital investment by a significant Norwegian telecommunications company entering the Slovak market by establishing a subsidiary company and provision of a loan of app. SKK 150 mil.

►A merger between two significant Slovak internet providers within acquisitions by a Norwegian telecommunications group in Slovakia.

►A large joint venture for the supply of heat and hot water established by an important Slovak city and a strong Austrian investor whose capital stock exceeds SKK 230 mil; in this project we supported the interests of the Austrian investor by ensuring efficient control tools and exercising the client's rights.

►A capital contribution by the European Bank for Reconstruction and Development to a medium-sized machine-building company through the increase of the capital stock by app. SKK 150 mil., including the issue of convertible bonds; in this process we represented the Slovak party.

►Acquisition of the company owning the most important Slovak oil storage undertaking in the total amount of several hundred million Slovak crowns; in this process we represented a Czech investor.

►Preparation of all legal steps required for the entry of an investor into one of the largest machine-building companies in Slovakia; in this transaction we represented the Slovak company and its shareholders.

►Carrying out the necessary legal measures to enable a capital contribution to be made by a significant fund investor to a Slovak telecommunications equipment manufacturer, including a transformation of corporate form; in this transaction we acted for the Slovak manufacturer.

►Acquisition by the biggest Slovak bearings manufacturer of several smaller Slovak manufacturers of bearings and their components; in this process we represented the acquirer.

►Acquisition of the biggest Slovak food fat and technical oils producer in a total value of approx. SKK 2 billion, legal service, including antitrust procedure for the Buyer, year 2007.

Real Estate

►Representing a seller (including analyzing the transaction model and its implementation, negotiations, drafting and closing the transaction) in the process of selling building lands in the centre of the city Bratislava, Old Town, to a foreign investor. The value of transaction was NOT DISCLOSED.

►Representing a seller in the process of development and selling lands in the Slovenský Grob locality to an investor. Lands area was approximately 680,000 square meters. The value of transaction was NOT DISCLOSED.

►Acting as legal counsel for a buyer in the process of purchasing lands for industrial building in locality of Trnava in a value of NOT DISCLOSED. Assistance in the process of developing stated lands.

►Legal assistance to an investor in the process of building an industrial park in the area of Trnava-Selpice. Regulation of complex legal relationships including cooperating, negotiating and concluding contracts with municipality authorities and their suppliers, tenants etc.

►Representing a seller in the process of selling factory buildings and lands in the industrial area of Považská Bystrica to several different foreign investors. Legal assistance with the process of regulation of the relationships in this area between the individual investors.
